The terms and conditions of SINTEO Dental s.r.o. based in Brno, Czech Republic, which operates the dental CAD/CAM center SINTEO, (hereinafter referred to as “SINTEO”) for the delivery of dental prosthetics for dental laboratories, or other companies working in dentistry (hereinafter referred to as “customer”).

1. SINTEO DENTAL CAD/CAM CENTER

1.1 The SINTEO production center offers the possibility to order the production of frameworks for dental prosthetics, such as crowns and bridges for many applications (hereinafter referred to as the “product”), online at the website www.sinteodental.com, by phone, or by email. The purpose of production in the CAD/CAM center is to provide outsourcing in the production of dental prosthetics frameworks. The author of the product is SINTEO.

2. THE SCOPE OF THE TERMS AND CONDITIONS

2.1 The exclusive general terms and conditions (“GTC”), as defined in the following sections and subsections shall apply as in force at the time of the order.

3. REGISTRATION AND REGISTERED USER

3.1 To submit an order to the SINTEO center you must register on the website www.sinteodental.com (or www.sinteo.cz or www.sinteo.pl) so that SINTEO receives all the information needed for a rapid and smooth processing of the order. The customer is obligated to provide SINTEO with as much identification information as the production center requires, for the best possible communication between the parties.

3.2 The registration is reserved for legal and natural persons with unlimited legal capacity, who are entrepreneurs stored in accordance with the local Commercial Code of each country.

3.3 The Username and password cannot be assigned to any third party.

4. COOPERATION AND PLACE OF PERFORMANCE

4.1 The contract for the production of dental prosthetics is not specified and required by the manufacturer, it is sufficient to register at the mentioned website or by email. However, cooperation may work on the basis of a contractual relationship if requested by the customer. SINTEO cannot further examine or adjust the data sent by the customer. The technical data and parameters (minimum wall thickness etc.) are preset in the CAD software (3D scanner).

4.2 If customer sends a plaster model to SINTEO in order to be processed as an order (scanning, modelling, production), SINTEO is obliged to manage with that according to order description from customer. Otherwise customer could claim for a reclamation. If not specified too detailly by a customer, SINTEO has got a right to process this order according to own best mind, experience and conscience.

4.3 The place of production is the SINTEO Dental CAD/CAM Center, Mojmirovo nam 25/25, Brno 612 00, Czech Republic

4.4 The SINTEO production center is only in operation on weekdays (Monday-Friday), public holidays, i.e. Czech national holidays are the only weekdays when the SINTEO operation is stopped.

5. PRICES AND PAYMENT TERMS

5.1 Unless expressly agreed otherwise, the prices accrue from the price list, that is the price list in force at the time of the order in the version published on the SINTEO website. All prices are given in euros for clients all over the Europe, unless agreed otherwise. All prices are given including VAT.

5.2 If the customer is in default, then SINTEO is entitled to charge default interest at the amount of 0.5% of the total invoiced amount for each day. If the customer causes SINTEO more damage by failing to meet the long-term commitment, then they may also be enforced.

5.3 Invoicing takes place 1x per month by a collective invoice. The invoice is sent by post to the customer’s address, but it can also be sent electronically by email if requested by the customer. The invoice contains all the products ordered during the given period. The maturity of the invoices is generally 14 days. For existing customers a longer maturity time may be established.

6. WARRANTY CLAIMS

6.1 In accordance with the regulations SINTEO will provide a warranty for the product, unless stated otherwise in the following paragraphs 6.2 to 6.3.

6.2 If the product is defective, the customer may request a replacement. If a defect is verified then SINTEO is obligated to provide the customer with a free replacement of the product, which will be executed based on the original electronic data, or the customer is entitled to a refund in the exact amount of the selling price of the defective product. Claims for damages, a refund, or a new product can be applied in cases specified in article 8.

6.3 The defect shall not be recognized if the product was manufactured in accordance with the information that SINTEO has, i.e. in the .stl format that it obtained from the customer. If SINTEO is able to demonstrate that no defect exists that could be subject to the warranty obligation, then compensation for the expenses incurred as a result of services provided to fix the defect may be requested.

6.4 In the case of the scanning of the plaster cast with a scanner and employees of SINTEO, which was provided by the customer, the claim applies only to defects, cracks, or corrosions caused by a defect in the materials or processing by the SINTEO employees. The claim does not apply to the non-acceptance of the finished product by the buyer due to a different idea about the product.

6.5 SINTEO guarantees that it will archive electronic data in the .stl format for production, for a maximum of 6 month after the delivery to the customer.

7. WARRANTY

7.1 SINTEO grants the following warranty (“warranty”) for products manufactured in SINTEO. The warranty only applies to direct customers of SINTEO. The final customers or third parties, especially consumers and patients, have no claim under this warranty.

7.2 The warranty period lasts for 5 years from the data of the delivery to the customer. This is valid for all the materials, excepting PMMA, PEEK and other materials used as temporary solutions (mainly plastic materials).

7.3 The extent of the warranty and the exclusion of entitlement to a warranty exists only for those errors in the product itself: defects, cracks, or corrosions, caused by a defect in the material or processing by employees of SINTEO. Compensation for damages incurred during transportation shall be settled on behalf of the SINTEO production center, as the customer’s transportation company. Other defects such as defective products for which SINTEO is not responsible, are not eligible to claim. SINTEO is particularly not liable for defects caused by improper or incorrect processing of the product by the client or other third parties.

7.4 If during the warranty period one of the defects that can be applied to the warranty occurs, then SINTEO is obligated to resolve the defect at no cost of the customer. It is in SINTEO’s discretion whether the defect can be remedied by manufacturing a new product that is the same as the previous one, based on the original set of data. Therefore, it is required that the defective product be sent to SINTEO during the warranty period together with a written description of the defect by the customer. In the case of claims for a product the transport is always at the customer’s own risk. The cost for transportation of a defective product to SINTEO is paid by the customer, and the cost for transportation from SINTEO to the customer is paid by SINTEO. This warranty does not demand the customer to withdraw from any contract between the parties, or for compensation for damages due to defects in the initiation of the warranty claim. In particular, compensation for consequential damages of any kind is excluded.

8. LIABILITY

8.1 SINTEO is liable for all damages – for whatever legal reason, especially arising from any breach of the contract (including material defects or defects in the title) or any unlawful act – in accordance with the following provisions, whereas the rules also apply to the compensation claim of unnecessary costs.

8.2 SINTEO assumes liability under the law on product liability, as well as in cases of injury to the body or health, in accordance with statutory requirements.

8.3 In the event of gross negligence, the liability of SINTEO is limited to compensation for the foreseeable damage.

8.4 In the case of slight negligence, the liability of SINTEO for material defects and financial loss, or also for subsequent financial losses, is excluded.

9. OTHER ARRANGEMENTS AND CHANGES TO THESE GTC

9.1 If any provision of these GTC shall be void, it shall not affect the other provisions. A void provision shall be deemed superseded, by such a provision that economically best approaches the sense and purpose of the void provision. The same applies to possible gaps in the legislation.

9.2 SINTEO reserves the right to amend these GTC at any time without stating a reason. However, it is the duty of SINTEO to inform you about the changes in the conditions by indicating the changes in an email to the address given by the customer as a contact email, at least two weeks before the amendments enter into force.
